The three Principals of Prime Care Properties, LLC have helped shape and now define the field of assisted living and skilled nursing in the United States.

Jay L. Hicks, CFA, is the President and Chief Executive Officer of Prime Care Management, LLC. and the President and a member of the Board of Managers of each owner entity. He is also the founder in 1993, President and Chief Executive Officer of Care Institute Group, Inc. Mr. Hicks holds an MBA in Finance from Boston University and has been associated with Investors Bank & Trust Holding Company in Boston and Eaton Vance Management, also in Boston, where he was responsible for analyzing all potential purchases of health care related tax exempt bonds for a high-yield fund with more than $ 2 billion of assets. He also had responsibility for negotiating and structuring all non-rated nursing home, assisted living facility and hospital bonds purchased by the entire group of Eaton Vance municipal bond funds. Mr. Hicks has been responsible for the selection of projects, structuring their financing, supervision of the operations in each of the facilities, and acting as the interface with the various bond funds and lending institutions that have provided debt funding and with investors in projects.

Arnold M. Whitman is the Vice President and board member of each entity. He was Vice President of C.M. Fogarty Co., Inc., a Washington D.C. based consulting firm specializing in nursing home and retirement housing acquisitions. In 1986 he assumed similar duties with Mediplex, where he was Director of Acquisitions. His responsibilities included acquisitions of nursing homes and psychiatric hospitals and also marketing of nursing homes, psychiatric hospitals, rehabilitation hospitals and sub-acute care facilities. In 1988, Mr. Whitman became Vice President of Acquisitions for Meditrust, the nation's largest health care real estate investment trust with assets of over $1.2 billion. His responsibilities included marketing, origination and underwriting of $700 million of health care financing. He is presently the President of Formation Capital in Atlanta, Georgia, where he is responsible for origination and underwriting of securitized taxable mortgage financing programs for health care facilities. Mr. Whitman is a graduate of the University of Denver, with a B.A. in marketing. He has acted as a director and consultant on new acquisitions and financing issues to the entities since their formation.

Robert N. Davies is the Secretary/ Treasurer, General Counsel and member of the Board for each of the entities. Mr. Davies, the top graduate of Duke University Law School, became a senior partner at Baker & Daniels, one of Indianapolis' largest law firms, where he concentrated his practice in federal income tax planning and financing businesses. Subsequently, he formed and managed a law firm that concentrated on mergers and acquisitions of businesses, especially banking institutions. Mr. Davies has served as the General Counsel of Methodist Hospital of Indiana, Inc., an 1100 bed teaching hospital, during a period of extensive corporate restructuring and construction of a major addition to that facility. He has also been Director of Corporate Finance for a privately held, world-wide, conglomerate of manufacturing businesses. He has been Chief Legislative legal counsel to the Governor of Indiana. Mr. Davies has been a frequent writer and speaker on business, financial and tax issues. He is primarily responsible for the legal and tax aspects of the business and its capital.
